Terms of service.
Agreement. This Site Terms of Use agreement ("the "Agreement") is made by and between Wendship, LLC, a Delaware limited liability corporation, dba Shortstorey (“Owner”) of www.shortstorey.app, which may be accessed through that URL or others including www.shortstorey.co or www.getshortstorey.com (collectively, the “Site”), on the one hand, and you, the user of this Site (“You” or “Your”). The Agreement governs the terms and conditions applicable to Your access of and use of this Site. A “Site Use” as used in this Agreement constitutes the accessing, visiting, browsing, using, or attempting to interact with or use any part of this Site or any Shorstorey services or content. BY YOUR SITE USE, YOU AGREE THAT YOU HAVE READ, UNDERSTAND, AND AGREE TO BE BOUND BY THIS AGREEMENT. Owner reserves the right to revise this Agreement at any time and without notice to You, and these modifications shall be effectively immediately. Accordingly, You should review the Agreement periodically to determine if any changes have been made. The most current version of this Agreement, which supersedes all previous versions, can be reviewed at http://www.shortstorey.app/terms-of-service. Any Site Use by You shall constitute and be deemed Your unconditional acceptance of this Agreement in its most current form, inclusive of any changes to the Agreement that have been made since Your prior Site Use.
Privacy. When engaging in a Site Use, You shall be subject to any posted Site policies, guidelines or rules, including but not limited to the Site’s Privacy Policy. This Privacy Policy can be reviewed at https://app.termly.io/policy-viewer/policy.html?policyUUID=e4e10202-db9f-4b8b-b22a-179d7944982b. All such policies, guidelines and rules, including the most current version of the Privacy Policy, are hereby incorporated by reference into this Agreement.
Ownership. All content included on this Site is and shall continue to be the property of Owner or its content suppliers and is protected under applicable copyright, patent, trademark, and other proprietary rights. Any copying, redistribution, use or publication by You of any such content or any part of the Site is prohibited, except as expressly permitted in this Agreement. Under no circumstances will You acquire any ownership rights or other interest in any content by or through Your use of this Site.
Intended Audience. You must be at least 13 years of age to access and use this Site. If you are 13 years of age or younger, do not use this Site for any purpose.
Trademarks. “Shortstorey,” “Small Biz, Big Rizz” and others are either trademarks or registered trademarks of Owner. Other product and company names mentioned on this Site may be trademarks of their respective owners.
Site Use. Owner grants you a limited, revocable, nonexclusive license to use this Site solely for your own personal use and not for republication, distribution, assignment, sublicense, sale, preparation of derivative works, or other use. You agree not to copy materials on the Site, reverse engineer or break into the Site, or use materials, products or services in violation of any law. The use of this Site is at the discretion of Owner and Owner may terminate your use of this Site at any time.
Compliance with Laws. You agree to comply with all applicable laws regarding Your use of the Site. You further agreed that any information provided by You is truthful and accurate to the best of Your knowledge.
Indemnification. You agree to indemnify, defend and hold Owner and its officers, directors, employees and affiliates harmless from any liability, loss, claim and expense, including reasonable attorney's fees, related to your violation of this Agreement or use of the Site.
Disclaimer and Limitation of Liability. THE INFORMATION ON THIS SITE IS PROVIDED ON AN "AS IS," "AS AVAILABLE" BASIS. YOU AGREE THAT USE OF THIS SITE IS AT YOUR SOLE RISK. OWNER AND ITS OFFICERS, DIRECTORS, AND EMPLOYEES DISCLAIM ALL WARRANTIES OF ANY KIND, INCLUDING BUT NOT LIMITED TO ANY EXPRESS WARRANTIES, STATUTORY WARRANTIES, AND ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
UNDER NO CIRCUMSTANCES WILL OWNER, ITS LICENSORS, SERVICE PROVIDERS, CONTENT PROVIDERS, EMPLOYEES, AGENTS, OFFICERS, OR DIRECTORS BE LIABLE OR RESPONSIBLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, CONSEQUENTIAL (INCLUDING DAMAGES FROM LOSS OF BUSINESS, LOST PROFITS, LITIGATION, OR THE LIKE), SPECIAL, EXEMPLARY, PUNITIVE, OR OTHER DAMAGES, UNDER ANY LEGAL THEORY, ARISING OUT OF OR IN ANY WAY RELATING TO THE SITE OR ANY OF ITS CONTENTS OR A SITE USE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. YOUR SOLE REMEDY FOR DISSATISFACTION WITH THE SITE OR ANY OF ITS CONTENTS IS TO CEASE ANY SITE USE.
NOTE THAT TO THE EXTENT YOUR JURISDICTION DOES NOT ALLOW CERTAIN LIMITATIONS OF WARRANTIES OR LIABILITY/DAMAGES, THE EXCLUSIONS OR LIMITATIONS IN THIS AGREEMENT THAT DIRECTLY CONFLICT WITH SUCH LAWS MAY NOT APPLY TO YOU.Use of Information. Owner reserves the right, and You authorize Owner, to use and assign all information regarding any Site Use by You and all information provided by You in any manner consistent with our Privacy Policy.
Applicable Law. You agree that the laws of the state of New York, without regard to conflicts of laws provisions, will govern this Agreement and any dispute that may arise between You and Owner, or its officers, directors, employees or affiliates.
Severability. If any court of competent jurisdiction determines that any provision of this Agreement is unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary so that this Agreement will otherwise remain in full force and effect.
Waiver. The failure of Owner to exercise or enforce any right or provision of this Agreement shall not operate as a waiver of such right or provision. Any waiver of this Agreement by Owner must be in writing and signed by an authorized representative of Owner.
Termination. Owner may terminate this Agreement at any time, with or without notice, for any reason.
Relationship of the Parties. Nothing contained in this Agreement or any Site Use by You shall be construed to constitute either party as a partner, joint venturer, employee or agent of the other party, nor shall either party hold itself out as such. Neither party has any right or authority to incur, assume, or create, in writing or otherwise, any warranty, liability or other obligation of any kind, express or implied, in the name of or on behalf of the other party.
Entire Agreement. This Agreement constitutes the entire agreement between You and Owner governing the subject matter set forth and incorporated herein, and supersedes all prior or contemporaneous communications and proposals, whether electronic, oral, or written, between You and Owner with respect to this Site.
